1. INTRODUCTION AND ACCEPTANCE

Welcome to Kasumart, an online multi-vendor marketplace that enables customers to discover and purchase products from independent sellers and enables approved vendors to offer products for sale.

These Terms and Conditions (“Terms”) govern your access to and use of Kasumart.ng, our mobile applications, marketplace services, and associated features (collectively, the “Platform”).

By accessing, registering for, or using the Platform, you agree to be bound by these Terms and our applicable Privacy Policy, Cookie Notice, Return and Refund Policy, Seller Policy, and other policies expressly incorporated into these Terms.

If you do not agree with these Terms, you must discontinue use of the Platform.

If you use Kasumart on behalf of a company, business, or other organisation, you confirm that you are authorised to accept these Terms on its behalf.

2. DEFINITIONS

For purposes of these Terms:

  • “Kasumart,” “we,” “us,” or “our” means [insert registered legal entity name], the operator of the Platform.

  • “Platform” means the Kasumart website, mobile applications, software, and related marketplace services.

  • “User” means any person who accesses or uses the Platform.

  • “Buyer” or “Customer” means a person purchasing or intending to purchase products through the Platform.

  • “Seller” or “Vendor” means an approved individual or business listing products for sale through the Platform.

  • “Order” means a purchase request submitted by a Buyer through the Platform.

  • “Product” means any item or service lawfully listed and offered for sale on the Platform.

  • “Content” means text, images, descriptions, reviews, videos, logos, and other materials displayed or submitted through the Platform.

  • “Transaction” means an order, payment, sale, refund, or other commercial activity conducted through the Platform.

  • “Applicable Law” means all Nigerian laws, regulations, regulatory requirements, and other legal obligations applicable to the relevant activity.

3. ELIGIBILITY AND USER ACCOUNTS

You must have the legal capacity to enter into a binding agreement to use the Platform.

Where a person is under the age of 18 or otherwise lacks legal capacity, they may use the Platform only where permitted by applicable law and with any required involvement or supervision of a parent, guardian, or legally authorised representative. Seller accounts and other commercial activities may be subject to additional eligibility requirements.

To register, you may be required to provide your full name, mobile phone number, email address, and other information reasonably necessary for account creation, verification, security, or legal compliance.

You agree to:

  1. Provide accurate, current, and complete information.

  2. Keep your account details up to date.

  3. Protect access to your registered phone number, one-time passwords (OTPs), and devices.

  4. Never share verification codes or authentication credentials with unauthorised persons.

  5. Notify Kasumart promptly if you suspect unauthorised account access.

  6. Maintain only those accounts permitted by our account policies.

You are responsible for activity carried out through your account, except where applicable law provides otherwise or the activity results from circumstances for which you are not legally responsible.

Kasumart may request additional identity, business, address, or other verification information where reasonably necessary for security, fraud prevention, vendor onboarding, or legal compliance.

4. PASSWORDLESS LOGIN AND VERIFICATION

Kasumart may use phone-number verification and one-time passwords instead of traditional passwords.

You authorise Kasumart and its verification providers to send authentication messages to the phone number you submit for that purpose.

Verification confirms control of a particular phone number at the time of verification. It does not, by itself, establish your full identity, prove ownership of a business, or verify your email address.

You must not attempt to bypass verification, intercept authentication codes, impersonate another user, or exploit weaknesses in the authentication system.

Kasumart may temporarily restrict login attempts, require further verification, or invalidate sessions where necessary to protect accounts and the Platform.

You are responsible for keeping your phone number accessible and updating it through our approved account-change process. We do not guarantee account recovery where ownership cannot be established securely.

5. NATURE OF THE MARKETPLACE

Kasumart provides a digital platform through which independent sellers can display and offer products to buyers.

Unless expressly stated otherwise for a particular transaction, the seller is responsible for the product offered, the accuracy of its listing, its availability, its lawful sale, its quality, and fulfilment of the seller's obligations.

Kasumart may provide marketplace tools, product discovery, order management, payment integrations, delivery coordination, customer support, promotional features, seller verification, and dispute-handling services.

The specific services available may vary by location, product category, seller status, and transaction.

Kasumart is not automatically the seller, manufacturer, importer, or delivery provider for every product listed on the Platform. The identity of the seller and the applicable transaction terms should be disclosed to buyers before they commit to a purchase.

Nothing in these Terms removes any legal responsibility that Kasumart may have as a marketplace operator, service provider, contracting party, or supplier in a particular transaction.

6. SELLER REGISTRATION AND APPROVAL

A person or business wishing to sell through Kasumart must complete the applicable vendor registration process and receive approval before listing products where approval is required.

Sellers may be required to provide:

  • Legal name or registered business name.

  • Contact details and operating address.

  • Valid identity information for relevant account holders.

  • Business registration details, where applicable.

  • Bank account or other approved payout details.

  • Product-category licences, permits, certificates, or regulatory approvals where required.

  • Tax identification or other information required by law.

Approval to sell does not mean that Kasumart guarantees every seller, product, claim, or transaction.

Sellers must promptly notify Kasumart of material changes to their business details, ownership, authorisations, payout details, or eligibility.

Kasumart may reject or suspend a vendor application where information is incomplete, cannot be reasonably verified, presents unacceptable risk, or fails to satisfy applicable legal or platform requirements. Any action will be subject to applicable law and any required notice or review rights.

7. SELLER OBLIGATIONS

Every seller agrees to:

  1. List only products they are legally entitled to sell.

  2. Provide accurate descriptions, images, specifications, condition, availability, and pricing.

  3. Clearly identify used, refurbished, repaired, open-box, or otherwise non-new products.

  4. Disclose material limitations, warranty conditions, expiry dates, and relevant product risks.

  5. Maintain sufficient stock information and update listings promptly.

  6. Honour accepted orders unless cancellation is permitted under these Terms or applicable law.

  7. Package products appropriately and meet agreed dispatch and delivery obligations.

  8. Respond reasonably to buyer enquiries, complaints, return requests, and warranty claims.

  9. Comply with consumer protection, product safety, labelling, tax, intellectual property, and sector-specific requirements.

  10. Maintain any licences and approvals required for their business or products.

  11. Cooperate with legitimate investigations into suspected fraud, unsafe products, counterfeit goods, or other violations.

  12. Avoid false reviews, manipulated sales, misleading discounts, and fraudulent transactions.

Sellers must not use Kasumart to evade applicable laws, mislead customers, manipulate marketplace rankings, or divert transactions in breach of any clearly disclosed and lawful platform rule.

8. PRODUCT LISTINGS AND ACCURACY

Sellers are responsible for ensuring that their listings are truthful, lawful, current, and not misleading.

Each listing must accurately disclose, as applicable:

  • Product name and description.

  • Seller identity.

  • Price and applicable charges.

  • Product condition and relevant specifications.

  • Stock availability.

  • Delivery options and estimated delivery timeframe.

  • Applicable warranty and return conditions.

  • Material restrictions, safety information, and regulatory disclosures.

Product photographs should reasonably represent the product being offered. Images must not be used in a manner that materially misrepresents the product's identity, condition, size, or features.

Kasumart may correct formatting, request additional information, restrict visibility, or remove listings that appear unlawful, unsafe, deceptive, infringing, or inconsistent with Platform policies.

A listing review or approval does not amount to a guarantee by Kasumart that the product is genuine, safe, or compliant.

9. PROHIBITED AND RESTRICTED PRODUCTS

Sellers must not list or sell products prohibited by applicable law or our product policies.

Prohibited or restricted categories may include:

  • Counterfeit, stolen, unlawfully obtained, or infringing goods.

  • Illegal drugs, controlled substances, and unauthorised medicines.

  • Unlicensed or unlawfully supplied medical products.

  • Weapons, explosives, and prohibited dangerous materials.

  • Products that are unsafe, recalled, or unlawfully marketed.

  • Products containing unlawful or deceptive claims.

  • Fraudulent documents, stolen data, or services facilitating illegal activity.

  • Wildlife products or other items whose trade is prohibited or restricted.

  • Products subject to licensing, age, import, export, or other restrictions where the relevant requirements are not satisfied.

  • Any other category prohibited by applicable law or Kasumart's published policies.

Additional rules may apply to food, cosmetics, electronics, medicines, medical devices, alcohol, financial products, and other regulated categories.

Kasumart may remove or restrict a listing, suspend sales, preserve relevant records, or notify an appropriate authority where reasonably necessary and legally permitted.

10. PRICING, FEES, AND TAXES

Sellers are responsible for setting accurate product prices and disclosing relevant product information.

Before a buyer places an order, the Platform will display the applicable charges available for that transaction, which may include:

  • Product price.

  • Delivery or shipping fee.

  • Applicable taxes or statutory charges.

  • Platform or service fees, where applicable.

  • Any other mandatory charge associated with the order.

The amount payable at checkout should reflect the charges disclosed before the buyer commits to the transaction, subject to lawful adjustments and clearly communicated changes.

Sellers must not use misleading reference prices, fictitious discounts, hidden mandatory fees, or deceptive promotional claims.

Kasumart may charge sellers commissions, subscriptions, advertising fees, fulfilment fees, transaction fees, or other disclosed charges under the applicable seller agreement or fee schedule.

Each party is responsible for its own tax obligations under applicable law. Kasumart may make legally required deductions, reporting, or withholding where applicable.

11. ORDERS AND CONTRACT FORMATION

A buyer may place an order by selecting products, providing the requested information, choosing an available delivery method, and completing the checkout process.

Submitting an order constitutes an offer to purchase the selected products under the applicable listing and checkout terms.

An order confirmation or acknowledgement does not necessarily mean that the seller has accepted the order, unless the Platform expressly states otherwise.

The sale contract between the buyer and seller is formed at the point specified in the checkout process or applicable transaction terms. Kasumart should make that point clear to both parties.

Orders remain subject to stock availability, payment authorisation, verification checks, delivery availability, and lawful restrictions.

If an order cannot be fulfilled, the relevant party must notify the buyer and arrange any refund or other remedy required by these Terms and applicable law.

Kasumart may cancel or restrict an order where there is a reasonable basis to suspect fraud, unauthorised payment, unlawful activity, material listing error, or a safety or compliance issue.

12. PAYMENTS AND PAYMENT PROCESSING

Payments must be made using payment methods made available or authorised by Kasumart for the relevant transaction.

Payment processing may be provided by banks, payment service providers, card networks, or other third-party payment partners.

By submitting payment details, you authorise the relevant payment provider to process the transaction in accordance with its applicable terms and the payment instructions you approve.

Kasumart may use transaction verification and fraud-prevention measures, including payment status checks and order reviews.

Kasumart will not describe customer funds as held in escrow, trust, or a protected wallet unless the actual payment arrangement and applicable legal framework support that description.

Where Kasumart facilitates payment collection or seller payouts, the applicable payment flow, settlement timing, fees, reserves, and conditions must be disclosed in the relevant seller terms or payment information.

Buyers should not pay sellers through unofficial channels where doing so would bypass the Platform's documented transaction process or remove available protections.

Kasumart will never ask users to disclose their full payment card PIN, banking password, or OTP for an unrelated transaction.

13. SELLER COMMISSIONS AND PAYOUTS

Where seller commissions or other marketplace fees apply, the applicable rates, calculation method, deductions, and payment timing will be disclosed in the seller dashboard, fee schedule, or separate seller agreement.

Seller payouts may be subject to:

  • Confirmation of payment and order status.

  • Delivery or fulfilment confirmation where applicable.

  • Applicable commission and fee deductions.

  • Refunds, chargebacks, reversals, or disputed transactions.

  • Fraud prevention and lawful compliance checks.

  • Verification of seller identity and payout details.

  • Any lawful reserve, withholding, or settlement requirement disclosed to the seller.

Kasumart may delay a payout where reasonably necessary to investigate a specific suspected fraud, payment reversal, material order dispute, or legal compliance issue.

Any delay or deduction must be consistent with the applicable seller agreement and law. Where appropriate, Kasumart will provide an explanation and a process for the seller to dispute the action.

Kasumart does not guarantee a specific settlement time unless that time has been expressly committed to the seller.

14. DELIVERY, SHIPPING, AND FULFILMENT

Delivery arrangements may be handled by sellers, independent couriers, Kasumart-appointed logistics providers, or other disclosed service partners.

The order information should identify the available delivery method, applicable charges, and estimated delivery timeframe before checkout.

Sellers must dispatch products within the stated or agreed timeframe and provide accurate tracking information where available.

Buyers must provide a complete and accurate delivery address and reasonable contact information needed for fulfilment.

Delivery estimates are estimates unless expressly stated as guaranteed. Delays may occur due to weather, transport disruptions, security incidents, inaccurate addresses, regulatory inspections, or other circumstances outside a party's reasonable control.

Where a delay becomes material, the relevant party must provide appropriate updates and any cancellation or refund rights required by law.

Responsibility for loss or damage during delivery will be determined by applicable law, the agreed delivery terms, and the circumstances of the transaction. Nothing in these Terms automatically removes a buyer's statutory rights because a courier was involved.

A delivery marked as completed may be reviewed where the buyer provides credible evidence that the order was not received.

15. ORDER CANCELLATION

A buyer may request cancellation through the Platform where the order status and applicable law permit it.

Whether an order can be cancelled may depend on whether the seller has accepted it, prepared it, dispatched it, or completed delivery.

Sellers must not reject a cancellation where the buyer has a legal right to cancel.

Kasumart may cancel an order for legitimate reasons, including unavailability, a material pricing or listing error, suspected fraud, failed payment, regulatory restrictions, or inability to fulfil the order.

Where an order is cancelled after payment, any refund due must be processed in accordance with the applicable refund terms and legal requirements.

Cancellation fees, if any, must be lawful, reasonable where required, and disclosed before the buyer commits to the relevant transaction.

16. RETURNS, REFUNDS, AND REPLACEMENTS

Kasumart will maintain a Return and Refund Policy explaining the procedures, timeframes, evidence requirements, and available remedies for eligible transactions.

A buyer may be entitled to a return, refund, repair, replacement, price adjustment, or another remedy where required by applicable law or the published policy.

Reasons for a return or complaint may include:

  • The product is defective, damaged, unsafe, or materially different from its description.

  • The wrong product or quantity was delivered.

  • The product was not delivered.

  • The seller materially misrepresented the product.

  • The order was cancelled in circumstances requiring a refund.

  • Another legal or policy-based ground applies.

Where relevant, buyers should report a problem promptly and provide reasonable supporting evidence, such as photographs, order details, or delivery records.

Sellers must cooperate with valid claims and comply with their legal obligations.

Some products may be subject to lawful restrictions on returns for hygiene, safety, perishability, customisation, or other reasons. Any applicable exclusion must be clearly disclosed and must not override statutory rights.

Refund timing may depend on payment-provider processing, but the applicable party must initiate an approved refund within the required timeframe.

Nothing in this section removes a consumer's rights under the Federal Competition and Consumer Protection Act 2018 or other applicable law.

17. DISPUTES BETWEEN BUYERS AND SELLERS

Buyers and sellers should first attempt to resolve order-related complaints through the Platform's support or dispute-resolution process.

Kasumart may request relevant information from both parties, including listing details, order records, messages, photographs, delivery evidence, payment status, and return documentation.

Depending on the evidence and applicable policies, Kasumart may facilitate a resolution, request further action from a seller, arrange an eligible refund through the authorised payment process, restrict a listing, or take other proportionate measures within its authority.

Kasumart's internal dispute process does not replace the right of either party to seek assistance from a competent regulator, payment provider, alternative dispute-resolution body, or court.

Users must not submit knowingly false evidence, threaten other users, manipulate claims, or use the dispute process to obtain an improper benefit.

18. SELLER VERIFICATION AND MARKETPLACE TRUST

Kasumart may perform identity, business, contact, product, or other checks to support marketplace integrity.

A “verified” badge or similar indicator means only that the seller has completed the specific checks described by Kasumart at the time of verification.

Verification does not guarantee the seller's future conduct, financial standing, product quality, product authenticity, or fulfilment of every order.

Sellers must not falsify verification documents, transfer verification badges, or claim that Kasumart guarantees their products unless Kasumart has expressly authorised that claim.

Kasumart may review, suspend, or remove a verification status where the underlying information becomes inaccurate, expires, cannot be confirmed, or presents a legitimate compliance concern.

19. REVIEWS, RATINGS, AND USER CONTENT

Users may be permitted to submit reviews, ratings, questions, photographs, or other content relating to products and marketplace experiences.

You agree that content you submit will be truthful to the best of your knowledge, relevant to the subject, and lawful.

You must not submit:

  • Fake, purchased, or manipulated reviews.

  • Content intended to extort or unfairly harm another user.

  • Personal information published without a lawful basis.

  • Threats, harassment, hate speech, or unlawful content.

  • Counterfeit listings or content infringing third-party rights.

  • Spam, malicious code, or misleading promotional content.

By submitting content, you grant Kasumart a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format, and distribute that content as reasonably necessary to operate, promote, and improve the Platform, subject to applicable law and your rights.

You retain ownership of your content. This licence does not transfer ownership to Kasumart.

Kasumart may moderate or remove content under its published policies or where reasonably necessary for legal compliance, safety, integrity, or Platform operation.

20. INTELLECTUAL PROPERTY

The Platform's software, interface, design, branding, logos, original text, graphics, and other materials owned by Kasumart are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, reverse engineer, sell, or commercially exploit Kasumart's protected materials.

Sellers retain ownership of their lawful trademarks, product photographs, descriptions, and other intellectual property, subject to the licence granted under these Terms and any separate agreement.

Sellers must ensure that they have the rights and permissions needed to upload and use their content.

If you believe content on Kasumart infringes your intellectual property rights, contact [insert intellectual property complaint email] with sufficient information to identify the material and substantiate your complaint.

Kasumart may remove or restrict allegedly infringing material while reviewing a complaint and may take further action where appropriate.

21. PRIVACY AND PERSONAL DATA

Kasumart may process personal data for account registration, identity verification, order fulfilment, payments, customer support, security, fraud prevention, legal compliance, and other disclosed purposes.

Personal data may include contact details, transaction records, delivery information, device or technical information, and other information described in our Privacy Policy.

Kasumart will process personal data in accordance with applicable data protection law, including the Nigeria Data Protection Act 2023 where applicable.

Personal data may be shared with relevant sellers, couriers, payment providers, verification services, technology providers, and public authorities where there is an appropriate legal basis and the disclosure is necessary for the stated purpose or otherwise permitted by law.

Our Privacy Policy explains the relevant data practices, retention arrangements, rights, and contact procedures.

These Terms do not replace the Privacy Policy or constitute blanket consent to every form of data processing.

22. COOKIES AND SIMILAR TECHNOLOGIES

Kasumart may use essential cookies and similar technologies to support authentication, security, shopping cart functions, preferences, and other core features.

Optional analytics, advertising, or personalisation technologies may be used where available, appropriately disclosed, and permitted by applicable law.

Users may manage cookies through the controls provided by Kasumart and their browser settings. Disabling certain cookies may affect some features.

Further details are provided in the Cookie Notice.

23. PROHIBITED USER CONDUCT

You must not:

  1. Use the Platform for unlawful, fraudulent, or deceptive activities.

  2. Impersonate another person or business.

  3. Upload false identity, business, or payment information.

  4. Manipulate orders, reviews, rankings, promotions, or seller metrics.

  5. Attempt to gain unauthorised access to accounts, systems, or data.

  6. Introduce malware, harmful code, or security vulnerabilities.

  7. Scrape, harvest, or misuse user data in violation of law or Platform rules.

  8. Harass, threaten, defraud, or exploit other users.

  9. Circumvent lawful payment controls or transaction safeguards.

  10. List prohibited products or facilitate unlawful transactions.

  11. Misuse promotional credits, referral rewards, or discount schemes.

  12. Interfere with Platform operations or attempt to disrupt service availability.

Kasumart may investigate suspected violations and take proportionate action consistent with these Terms and applicable law.

24. ACCOUNT SUSPENSION, RESTRICTION, AND TERMINATION

Kasumart may restrict, suspend, or terminate an account where reasonably necessary due to suspected fraud, unlawful activity, serious policy violations, security threats, repeated non-fulfilment, prohibited listings, or other legitimate grounds.

Where reasonably practicable and legally permitted, Kasumart will provide notice of significant account action and an opportunity to respond or appeal.

Immediate restrictions may be necessary to protect users, preserve evidence, prevent further harm, or comply with a lawful order.

A suspended seller must not evade the restriction by creating another account or using another person's account.

Termination does not automatically extinguish obligations or rights relating to completed transactions, outstanding lawful payments, refunds, disputes, records that must be retained, or liabilities arising before termination.

Users may request account closure through the available account settings or support channel, subject to identity verification and lawful retention requirements.

25. DISCLAIMERS AND PLATFORM AVAILABILITY

Kasumart will take reasonable steps to operate and maintain the Platform. However, uninterrupted, error-free, or continuously available service cannot be guaranteed.

The Platform may be temporarily unavailable for maintenance, updates, technical failures, security measures, or circumstances outside our reasonable control.

Product listings and seller information are generally supplied by sellers. Kasumart may perform checks or moderation but does not automatically independently verify every listing or claim.

To the extent permitted by law, Kasumart does not warrant that every seller will fulfil every obligation or that every product will meet a buyer's expectations.

These disclaimers do not remove obligations that applicable law imposes on Kasumart, sellers, or other responsible parties, including obligations concerning accurate information, consumer rights, data protection, and reasonable care where applicable.

26. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where such
